1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms of Service (“Terms”) govern access to and use of NationalPlayerPortal.com, NPXUSA.com, and any related websites, mobile applications, software, platforms, products, features, and services (collectively, the “Platform”).

National Player Portal LLC (“National Player Portal,” “NPP,” “Company,” “we,” “us,” or “our”) provides the National Player Portal platform. NPXUSA and NPXUSA.com are associated with the broader business and may provide related products, services, technology, or intellectual property. The precise legal relationship and responsibilities of each entity should be confirmed before publication.

National Player Portal is designed to help athletes develop and present their athletic profiles, document skills and performance, share video and other materials, and connect with coaches, scouts, teams, clubs, trainers, and other individuals or organizations involved in athletic development and recruitment.

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms and any policies incorporated by reference. If you do not agree, you must not access or use the Platform.

If you use the Platform on behalf of a minor, organization, team, club, school, or other entity, you represent that you have the legal authority to accept these Terms on that party’s behalf where applicable.

We may revise these Terms from time to time. Material changes will be communicated as required by applicable law. The updated Terms will state their effective date. Continued use of the Platform after changes take effect constitutes acceptance to the extent permitted by law.

2. DESCRIPTION OF SERVICES

The Platform is intended to support athlete visibility, athletic development, profile creation, performance documentation, and connections within the sports community.

Depending on available features, the Platform may allow users to:

Create and maintain athlete profiles.

Upload photographs, videos, statistics, performance measurements, accomplishments, and other athletic information.

Display verified or unverified athletic data, evaluations, rankings, ratings, and performance indicators.

Share athlete profiles and media with authorized users, including coaches, scouts, teams, clubs, trainers, and organizations.

Discover athletes, review athletic information, and communicate through supported features.

Access training resources, analytics, assessment tools, development programs, or other services.

Purchase subscriptions, premium features, promotional services, or other products offered through the Platform.

Features, eligibility requirements, and availability may change over time. We reserve the right to modify, suspend, discontinue, or introduce features, subject to applicable law and contractual obligations.

Unless expressly agreed in a separate written agreement, NPP does not act as an athletic agent, recruiting agency, school admissions service, employment agency, sports team, governing body, or representative of any college, university, coach, scout, or professional organization.

3. ELIGIBILITY AND MINOR ATHLETES

The Platform may be used by athletes, including youth athletes, subject to the eligibility requirements and parental or guardian permissions applicable to the relevant service.

3.1 Parent and Guardian Consent

Users under the age of 18 must have the involvement and authorization of a parent or legal guardian where required by law or by the applicable Platform feature.

For users under 13, access to features that collect personal information will be permitted only in accordance with applicable children's privacy laws, including the Children's Online Privacy Protection Act (“COPPA”), where applicable. Verifiable parental consent will be obtained before collecting, using, or disclosing personal information when legally required.

A parent or legal guardian who creates or manages an account for a minor represents that they have the authority to do so and agrees to supervise the minor’s use of the Platform.

We may request age verification, parental consent, or other information reasonably necessary to confirm eligibility. We may restrict or suspend an account if required consent cannot be verified.

3.2 Responsibility for Minor Accounts

Parents and legal guardians should review the information, photographs, videos, and other materials submitted to an athlete’s profile and consider the privacy implications of making those materials available to other users.

Parents and guardians should also discuss appropriate online conduct, communications with adults, and the risks of sharing personal information.

3.3 Preservation of Legal Rights

Nothing in these Terms is intended to waive a minor’s rights or a parent’s or guardian’s rights where such a waiver is prohibited by law. The enforceability of agreements involving minors may vary by jurisdiction.

4. ACCOUNT REGISTRATION AND SECURITY

Certain Platform features require account registration.

You agree to:

Provide accurate, current, and complete information.

Maintain and update your account information when necessary.

Protect your login credentials and restrict unauthorized access.

Notify us promptly if you suspect unauthorized use of your account.

Use the Platform only through accounts you are authorized to access.

Avoid impersonating another person, athlete, coach, scout, school, organization, or business.

You are responsible for activity conducted through your account, subject to applicable law and any responsibility attributable to our own acts or omissions.

Accounts may not be sold, transferred, or shared except as expressly permitted by the Platform or authorized by us in writing.

We may request additional information to verify an account, athlete identity, age, affiliation, or submitted information. Verification procedures may vary by feature, and we do not guarantee that every profile, statistic, credential, or affiliation has been independently verified.

5. ATHLETE PROFILES, DATA, RANKINGS, AND EVALUATIONS

The Platform may display athlete profiles, statistics, measurements, assessments, rankings, ratings, scores, performance indicators, and other information intended to help users understand and evaluate athletic development.

5.1 Accuracy of Submitted Information

Users are responsible for ensuring that information they submit is accurate, lawful, and not misleading. Users must not falsify age, identity, academic information, athletic measurements, statistics, achievements, school affiliation, team membership, or other credentials.

We may correct, remove, label, or restrict information that we reasonably believe is inaccurate, misleading, unauthorized, or in violation of these Terms.

5.2 Rankings and Assessments

Rankings, ratings, scores, assessments, and performance indicators may be based on submitted information, available records, evaluations, statistical models, automated processes, third-party information, or other criteria.

Unless a particular feature expressly states otherwise, rankings and assessments are informational tools and are not guarantees of athletic ability, future performance, recruiting potential, scholarship eligibility, team selection, or professional prospects.

Rankings may change as new information becomes available or as evaluation criteria and methodologies change. Different coaches, scouts, teams, and organizations may use different standards when evaluating athletes.

The Company does not guarantee that any ranking, assessment, or evaluation is complete, universally accepted, or suitable for every recruiting or athletic decision.

5.3 No Guarantee of Recruiting Outcomes

The Platform does not guarantee that an athlete will be discovered, contacted, recruited, offered a roster position, awarded a scholarship, admitted to an educational institution, signed by a professional team, or selected for any team or program.

The existence of an athlete profile, ranking, evaluation, or connection does not establish endorsement by a college, university, coach, scout, team, league, or governing organization.

Users remain responsible for independently evaluating opportunities and confirming eligibility, requirements, deadlines, and representations made by third parties.

6. USER CONTENT AND INTELLECTUAL PROPERTY LICENSE

“User Content” means all photographs, videos, audio recordings, text, statistics, documents, messages, profile information, performance data, feedback, and other materials submitted, uploaded, transmitted, or made available by a user through the Platform.

6.1 Ownership

As between you and the Company, you retain ownership of User Content to the extent you own or otherwise hold rights in that content.

You are responsible for obtaining all permissions, licenses, consents, and other rights necessary to submit User Content, including permission from individuals depicted or recorded and authorization from a parent or guardian where required.

Uploading content does not transfer ownership of that content to the Company.

6.2 License to Operate the Platform

By submitting User Content, you grant National Player Portal LLC and its authorized service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, distribute, and technically adapt that content as reasonably necessary to operate, maintain, secure, and provide the features you use.

Where you choose to publish or share content with coaches, scouts, teams, clubs, or other users, you authorize the disclosures and uses reasonably necessary to provide those sharing features.

The license continues only for as long as reasonably necessary to provide the relevant services, meet legitimate operational requirements, resolve disputes, maintain security, or comply with legal obligations, subject to applicable law and our Privacy Policy.

Any separate use of User Content for advertising, public promotional campaigns, commercial endorsements, or other purposes beyond providing the Platform must be supported by an appropriate additional permission or legal basis where required.

For minors, any additional promotional use requiring parental permission will be subject to applicable law and the relevant consent requirements.

6.3 Public and Shared Content

Content made public or shared with third parties may be viewed, copied, downloaded, captured, or redistributed by recipients, depending on the features available and their own conduct. We cannot guarantee that recipients will delete copies they have independently retained.

Deleting content from the Platform may not immediately eliminate copies held in backups, retained records, or by third parties. Such copies will be handled in accordance with our Privacy Policy and applicable law.

6.4 Feedback

If you voluntarily provide suggestions, ideas, or feedback about the Platform, we may use that feedback to improve our services without compensation to you, provided that this does not override any separate written agreement or applicable legal rights.

7. COMPANY INTELLECTUAL PROPERTY

The Platform, including its software, code, design, interfaces, logos, trademarks, service marks, branding, proprietary databases, ranking methodologies, scoring systems, documentation, graphics, and other Company-created materials, is owned by or licensed to the Company and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

Copy, reproduce, sell, distribute, or commercially exploit the Platform or its proprietary materials.

Reverse engineer, decompile, or attempt to extract source code, except where applicable law expressly permits it.

Circumvent security controls, access restrictions, or technical safeguards.

Scrape, harvest, or systematically collect athlete profiles, contact details, statistics, or other data without written authorization.

Use Platform content or data to create a competing database, service, ranking system, or product without authorization.

Remove or alter copyright notices, trademarks, or proprietary notices.

Use Company branding in a way that suggests an endorsement, partnership, or affiliation that does not exist.

All rights not expressly granted are reserved by the applicable rights holder.

The names National Player Portal, NPP, NPXUSA, and any associated logos or marks may be protected trademarks or trade names. Their use does not confer ownership or a right to register confusingly similar marks.

8. ACCEPTABLE USE AND COMMUNITY STANDARDS

You agree to use the Platform lawfully, respectfully, and in a manner consistent with its athletic and developmental purposes.

You may not:

Submit fraudulent, deceptive, defamatory, threatening, abusive, or unlawful material.

Harass, exploit, intimidate, or discriminate against another user.

Impersonate athletes, parents, coaches, scouts, teams, or institutions.

Upload content that infringes another person’s intellectual property, privacy, publicity, or other rights.

Upload malware, attempt unauthorized access, or interfere with the Platform’s security or operation.

Use automated systems to collect information without authorization.

Exploit minors, solicit inappropriate communications, or use the Platform for unlawful or predatory purposes.

Misrepresent recruiting opportunities, scholarship offers, affiliations, or credentials.

Use the Platform to send spam, fraudulent solicitations, or unauthorized commercial messages.

Circumvent account restrictions, subscription controls, or safety measures.

Engage in conduct that could reasonably compromise the safety of athletes or other users.

We may investigate suspected violations and take appropriate action, including removing content, restricting features, suspending accounts, terminating access, or referring suspected unlawful conduct to appropriate authorities.

9. COACH, SCOUT, TEAM, AND THIRD-PARTY INTERACTIONS

The Platform may enable athletes to be discovered by or connect with coaches, scouts, teams, clubs, trainers, educational institutions, and other third parties.

Unless expressly stated otherwise, these parties operate independently of the Company. We do not guarantee their identity, qualifications, conduct, legitimacy, availability, intentions, or suitability.

Users should independently verify the identity and authority of individuals and organizations they interact with.

The Company is not responsible for third-party recruiting decisions, scholarship decisions, admissions decisions, roster selections, employment decisions, training services, fees, contracts, or communications, except to the extent liability cannot be excluded under applicable law.

Coaches, scouts, organizations, and other professional users must comply with applicable laws, institutional policies, recruiting rules, safeguarding requirements, and any additional terms applicable to their accounts.

Users must not use the Platform to solicit inappropriate contact with minors or to bypass applicable safeguarding rules. Any suspected exploitation, abuse, or serious safety concern should be reported promptly through the appropriate reporting channel and, when warranted, to the relevant authorities.

10. PRIVACY AND PERSONAL INFORMATION

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, disclose, retain, and protect personal information.

The Privacy Policy should be made available at a clearly accessible location on NationalPlayerPortal.com and incorporated into these Terms by reference.

The Platform may process information relating to athletes, including minors. We will handle personal information in accordance with our Privacy Policy and applicable law.

Users should not submit sensitive personal information unless a feature specifically requires it and appropriate safeguards and permissions are in place.

The Company does not promise that any internet-based service is completely secure. Users should protect account credentials and report suspected security incidents promptly.

If these Terms conflict with the Privacy Policy regarding the handling of personal information, the Privacy Policy and applicable law will govern the relevant privacy issue.

11. PAID SERVICES, SUBSCRIPTIONS, AND PAYMENTS

Certain features may be available for free, while other features may require payment, a subscription, or a separate agreement.

Before purchasing a paid service, users will be provided with the applicable price, billing frequency, renewal terms, and material conditions.

11.1 Authorization to Charge

By purchasing a subscription or paid service, you authorize the applicable payment provider to charge your selected payment method for the disclosed fees, taxes, and recurring charges, if any.

You are responsible for maintaining valid payment information and paying amounts properly due.

11.2 Automatic Renewal

If a subscription automatically renews, the renewal terms, billing interval, and cancellation method will be disclosed before purchase. You authorize recurring charges until you cancel in accordance with the applicable instructions.

We will provide renewal notices or obtain renewed consent where required by law.

11.3 Cancellation

You may cancel a subscription using the cancellation method disclosed at the time of purchase or through the applicable account settings.

Unless applicable law or the relevant offer requires otherwise, cancellation will take effect at the end of the current paid billing period. You may retain access until that period ends.

Cancellation prevents future renewals but does not automatically reverse charges already properly incurred.

11.4 Refunds

Refund eligibility will be governed by the applicable purchase terms and applicable law. Except where a refund is required by law or expressly promised in writing, fees for completed services or elapsed subscription periods may be non-refundable.

Nothing in these Terms limits any non-waivable consumer rights.

11.5 Price Changes

We may change subscription prices or paid-service fees prospectively. Where required, we will provide advance notice and obtain any necessary consent before a new price applies to an existing subscription.

11.6 Taxes and Failed Payments

You are responsible for applicable taxes unless otherwise required by law. If a payment fails or remains unpaid, we may suspend access to the applicable paid features after providing any notice required by law or the relevant purchase terms.

12. THIRD-PARTY SERVICES AND LINKS

The Platform may integrate with or link to third-party services, websites, payment processors, hosting providers, analytics tools, or communication services.

Those services may be subject to separate terms and privacy policies. The Company does not control third-party services and is not responsible for their content, availability, security, practices, or representations, except to the extent liability cannot be excluded under applicable law.

A link, listing, profile, or third-party integration does not necessarily constitute an endorsement or verification by the Company.

13. AVAILABILITY, CHANGES, AND ACCOUNT TERMINATION

We seek to maintain a useful and reliable Platform but do not guarantee uninterrupted access, continuous availability, or error-free operation.

We may maintain, update, modify, suspend, or discontinue features. We may restrict or terminate access where reasonably necessary to protect users, enforce these Terms, address security concerns, comply with legal obligations, or discontinue a service.

Where practicable and legally required, we will provide notice of material changes or termination affecting paid services and will address any applicable refund obligations.

Users may stop using the Platform and request account closure through the available account settings or support channels.

Account closure and content deletion may be subject to legal retention requirements, legitimate security needs, dispute resolution, backup processes, and the rights of third parties.

14. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ITS FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR COMPATIBLE WITH EVERY DEVICE OR SYSTEM.

THE COMPANY DISCLAIMS WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ALL USER-SUBMITTED INFORMATION, THE VALIDITY OF EVERY ATHLETE PROFILE, THE OUTCOME OF ANY RANKING OR EVALUATION, OR ANY RECRUITING, SCHOLARSHIP, ADMISSIONS, TEAM-SELECTION, OR PROFESSIONAL-ATHLETIC RESULT.

Nothing in these Terms excludes a warranty or protection that cannot lawfully be excluded.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NATIONAL PLAYER PORTAL LLC AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO THE COMPANY FOR THE RELEVANT SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

This limitation applies to the extent permitted by law and does not apply to liability that cannot legally be limited or excluded, including any liability that applicable law expressly protects from limitation.

Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, liability will be limited only to the maximum extent permitted by applicable law.

16. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless the Company and its applicable affiliates, officers, employees, contractors, and service providers from third-party claims, losses, liabilities, damages, and reasonable legal fees arising out of:

Your material breach of these Terms.

Your unlawful use of the Platform.

Your User Content or your infringement of another party’s rights.

Your fraud, intentional misconduct, or unauthorized use of another person’s account.

This provision does not require you to indemnify a Company party for losses caused by that party’s own conduct to the extent prohibited by applicable law.

The Company may control the defense of a claim for which indemnification is sought, provided that doing so does not unreasonably prejudice your rights. You agree to provide reasonable cooperation in the defense of such claims.

17. COPYRIGHT INFRINGEMENT AND DMCA NOTICES

The Company respects intellectual property rights and will respond to valid copyright infringement notices in accordance with applicable law, including the Digital Millennium Copyright Act (“DMCA”), where applicable.

The Company may remove disputed content, disable access, or terminate repeat infringers’ accounts where appropriate and legally permissible.

Do not submit knowingly false or misleading copyright notices or counter-notifications.

18. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms will be governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Subject to mandatory legal protections, disputes arising from these Terms or the Platform will be brought in the state or federal courts located in Wyoming, and the parties consent to the jurisdiction of those courts.

Nothing in this section prevents either party from seeking appropriate emergency or injunctive relief from a court of competent jurisdiction.

Any arbitration requirement, class-action waiver, or shortened limitation period must be separately and carefully drafted to comply with applicable law. No such requirement is created by this section.

19. GENERAL PROVISIONS

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable service-specific terms or agreements, constitute the agreement governing your use of the Platform, subject to any separate written agreement that expressly supersedes particular provisions.

19.2 Severability

If any provision is held invalid or unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will remain effective.

19.3 No Waiver

Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

19.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent, except where prohibited by law. The Company may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or other lawful business transaction, subject to applicable law.
